Terms & Conditions (B2B Only)

These Terms & Conditions apply to all orders placed through this website and all sales of products supplied by Scenic Props ApS ("we", "us", "our"). By placing an order, you confirm that you have read, understood, and accepted these Terms.

1. Business Customers Only (No Consumer Sales)

This website presents professional stage props intended exclusively for use in theatre, film, television, and other scenographic productions.

The products displayed are not marketed or intended as consumer products and are not designed for personal use.

By placing an order through this Website, you confirm that:

you are purchasing on behalf of a business, organisation, or professional entity; and
you are not purchasing as a private individual or consumer.

We do not sell to consumers and reserve the right to request proof of business status and to cancel any order that appears to be placed by a consumer.

2. Definitions

Customer / You: the business entity placing an order
Products: stage props and related consumables sold on this Website
Order: a purchase request submitted by you
Contract: the agreement between you and us for the supply of Products

3. Orders & Contract Formation

3.1. All orders placed through this Website are subject to acceptance by us.
3.2. A Contract is formed only when we confirm acceptance of your order (for example by order confirmation or dispatch confirmation).
3.3. We reserve the right to refuse or cancel any order at our discretion, including in cases of suspected consumer purchase, pricing errors, stock issues, or compliance concerns.

4. Prices and VAT

4.1. All prices are shown in USD and exclude VAT unless otherwise stated.
4.2. This website is intended for deliveries to destinations outside the European Union. Products are supplied without EU VAT.
4.3. Import duties, taxes, customs clearance fees and similar charges are governed by Section 8 of these Terms & Conditions.
4.4. We reserve the right to refuse or cancel orders intended for delivery within the European Union.
4.5. Prices may be changed at any time. Such changes will not affect orders that have already been confirmed.

5. Payment

5.1. Payment may be made using one of the payment methods offered during checkout, including credit and debit cards, PayPal, bank transfer or any other payment method made available on this Website at the time of purchase.
5.2. Payments made by credit or debit card, PayPal or other online payment methods are processed at the time the order is placed.
5.3. For payments made by bank transfer, payment must be received in full before the order is processed and shipped, unless otherwise agreed in writing.
5.4. Orders will only be confirmed and processed once full payment has been received or authorised.
5.5. We reserve the right to cancel any order if payment is declined, reversed or not received within a reasonable period of time.
5.6. An invoice or payment receipt will be issued following successful payment and order processing.
5.7. You are responsible for any bank charges, transfer fees or other payment-related charges. Import duties, taxes and customs charges are governed by Section 8 of these Terms & Conditions.

6. Delivery

6.1. Delivery options and estimated delivery times are provided during checkout.
6.2. Delivery times are estimates only and are not guaranteed.
6.3. Risk of loss or damage passes to you upon delivery.
6.4. You must inspect the Products upon receipt and report any visible damage or discrepancies without undue delay.
6.5. Unless otherwise agreed in writing, delivery is made on a DAP (Delivered At Place) basis in accordance with Incoterms® 2020.
6.6. Responsibility for import duties, taxes and customs charges is determined by the shipping service selected during checkout and is governed by Section 8 of these Terms & Conditions.

7. Title (Ownership)

Ownership of the Products remains with us until full payment has been received, including any delivery charges and applicable taxes.

8. Import Duties, Taxes and Customs Charges

8.1. Orders shipped outside Denmark may be subject to import duties, taxes, customs clearance fees or similar charges imposed by the destination country.
8.2. Where the customer selects the standard DHL Express shipping option, any import duties, taxes, customs clearance fees and similar charges are the responsibility of the customer and may be collected by the carrier or the relevant customs authorities.
8.3. Where the customer selects DHL Express – All Import Charges Included, Scenic Props ApS will pay the standard import duties, taxes and customs clearance charges applicable to the shipment. Under normal circumstances, no additional payment will be required from the customer before delivery.
8.4. The DHL Express – All Import Charges Included service applies only where this shipping option is offered and selected during checkout.
8.5. If customs authorities impose exceptional charges, penalties, storage fees or other costs that are not part of the ordinary import process, Scenic Props ApS reserves the right to recover such additional costs from the customer.

9. Returns & Refunds (B2B)

9.1. As this Website is B2B only, statutory consumer cancellation rights do not apply.

11.3. You must ensure that Products are used only by competent persons and handled appropriately.

12.2. You are responsible for conducting any necessary risk assessments within your organisation and ensuring correct storage, handling, and disposal.
12.3. Where Safety Data Sheets (SDS) are provided, they are intended for professional handling and compliance purposes.

13. Limitation of Liability

13.1. Nothing in these Terms shall limit or exclude liability for:

These Terms & Conditions and any Contract between you and us are governed by the laws of Denmark. Any dispute shall be subject to the exclusive jurisdiction of the courts of Denmark.
