Terms & Conditions (B2B Only)

These Terms & Conditions apply to all orders placed through this website and all sales of products supplied by Stage Props ApS ("we", "us", "our"). By placing an order, you confirm that you have read, understood, and accepted these Terms.

1. Business Customers Only (No Consumer Sales)

This website presents professional stage props intended exclusively for use in theatre, film, television, and other scenographic productions.

The products displayed are not marketed or intended as consumer products and are not designed for personal use.

By placing an order through this Website, you confirm that:

you are purchasing on behalf of a business, organisation, or professional entity; and
you are not purchasing as a private individual or consumer.

We do not sell to consumers and reserve the right to request proof of business status and to cancel any order that appears to be placed by a consumer.

2. Definitions

Customer / You: the business entity placing an order
Products: stage props and related consumables sold on this Website
Order: a purchase request submitted by you
Contract: the agreement between you and us for the supply of Products

3. Orders & Contract Formation

3.1. All orders placed through this Website are subject to acceptance by us.
3.2. A Contract is formed only when we confirm acceptance of your order (for example by order confirmation or dispatch confirmation).
3.3. We reserve the right to refuse or cancel any order at our discretion, including in cases of suspected consumer purchase, pricing errors, stock issues, or compliance concerns.

4. Prices, VAT & Taxes

4.1. All prices are stated in USD and are exclusive of VAT and any other applicable taxes.
4.2. All sales made through this Website are for delivery outside the European Union and are treated as export sales. VAT is therefore not charged in accordance with applicable legislation.
4.3. The customer is responsible for any import duties, VAT, taxes, customs clearance fees, or other charges that may apply in the destination country.
4.4. We reserve the right to change prices at any time; however, such changes will not affect confirmed orders.

5. Payment

5.1. Payment can be made via PayPal or bank transfer, unless otherwise agreed in writing.
5.2. For payments made via PayPal, payment is processed at the time of order placement.
5.3. For payments made via bank transfer, payment must be received in full before the order is processed and shipped. After placing an order, you will receive payment instructions by email.
5.4. Orders will only be confirmed and processed once full payment has been received. We reserve the right to cancel any order if payment is not received within a reasonable timeframe.
5.5. An invoice will be issued after payment has been received and the order has been processed.
5.6. You are responsible for any bank charges or transfer fees. We must receive the full invoiced amount.

6. Delivery

6.1. Delivery options and estimated delivery times are provided during checkout.
6.2. Delivery times are estimates only and are not guaranteed.
6.3. Risk of loss or damage passes to you upon delivery.
6.4. You must inspect the Products upon receipt and report any visible damage or discrepancies without undue delay.
6.5. Unless otherwise agreed in writing, delivery is made on a DAP (Delivered At Place) basis in accordance with Incoterms® 2020.
6.6. The customer is responsible for import clearance and payment of any duties, VAT, taxes, and related charges in the destination country.

7. Title (Ownership)

Ownership of the Products remains with us until full payment has been received, including any delivery charges and applicable taxes.

8. Returns & Refunds (B2B)

8.1. As this Website is B2B only, statutory consumer cancellation rights do not apply.
8.2. Returns are accepted only with prior written approval.
8.3. Where returns are approved, Products must be:

unused and unopened
in original packaging
returned within the timeframe specified by us

8.4. Custom orders, consumables, and hygiene-sensitive items are non-returnable unless confirmed to be faulty.

9. Faulty or Incorrect Products

9.1. If Products are defective, damaged in transit, or incorrect, you must notify us promptly and provide:

order number
description of the issue
photographic evidence where relevant

9.2. Where a fault is confirmed, we may at our discretion:

replace the Product
repair the Product (where applicable)
refund the Product value

10. Product Use (Professional Stage Props)

10.1. Our Products are intended solely for professional stage prop use and performance applications.
10.2. You are responsible for ensuring that the Products are suitable for your intended use and comply with your internal policies and applicable local regulations.
10.3. You must ensure that Products are used only by competent persons and handled appropriately.

11. Safety Information & Documentation

11.1. Safety information and product documentation may be available upon request.
11.2. You are responsible for conducting any necessary risk assessments within your organisation and ensuring correct storage, handling, and disposal.
11.3. Where Safety Data Sheets (SDS) are provided, they are intended for professional handling and compliance purposes.

12. Limitation of Liability

12.1. Nothing in these Terms shall limit or exclude liability for:

death or personal injury caused by negligence
fraud or fraudulent misrepresentation
any liability that cannot be excluded under applicable law

12.2. To the maximum extent permitted by law, we shall not be liable for:

indirect or consequential loss
loss of profits, revenue, business, or goodwill
loss arising from improper use, misuse, or unauthorised modification of Products

12.3. Our total liability under any Contract shall not exceed the amount paid by you for the relevant Products.

13. Intellectual Property

All content on this Website, including text, images, graphics, and branding, is owned by or licensed to us. No content may be copied, reproduced, or distributed without prior written consent.

14. Force Majeure

We shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control.

15. Privacy

We process personal data in accordance with our Privacy Policy.

16. Governing Law & Jurisdiction

These Terms & Conditions and any Contract between you and us are governed by the laws of Denmark. Any dispute shall be subject to the exclusive jurisdiction of the courts of Denmark.
